Hiya Pal! Vendor Contract

Vendor Event Agreement & Liability Waiver


This Agreement is entered into between Hiya Pal! (“Venue”) and the undersigned Vendor (“Vendor”) for the purpose of hosting an event at Hiya Pal’s space.


1. Use of Space


Vendor is permitted to use the Hiya Pal space solely for the approved event, date, and time agreed upon in advance. The space may not be used for any purpose outside of what has been disclosed and approved by Hiya Pal.


Vendor agrees to comply with all venue rules, safety guidelines, and capacity limits.


2. Liability & Indemnification


Vendor assumes full responsibility for their services, materials, equipment, and any individuals participating in or assisting with their event. Hiya Pal is not responsible for any injury, loss, or damage related to Vendor’s activities.


Vendor agrees to indemnify and hold harmless Hiya Pal, its owners, employees, and representatives from any claims, damages, injuries, losses, or expenses arising from Vendor’s services or use of the space.


3. Damage to Property


Vendor is financially responsible for any damage to the Hiya Pal space, fixtures, furniture, toys, floors, walls, or equipment caused by Vendor, their materials, or event participants.


Hiya Pal reserves the right to charge Vendor for repair, replacement, or additional cleaning costs resulting from damage beyond normal wear.


4. Prohibited Materials


For the protection of our space and guests, the following items are strictly prohibited:

• Glitter (including “biodegradable” or fine glitter)

• Confetti

• Slime, non-washable paint, or substances that stain or adhere to surfaces

• Open flames, candles, or heat-producing devices

• Any materials that could damage floors, walls, or play equipment


5. Approval of Special Materials or Equipment


If Vendor requires any special materials, equipment, substances, or set-ups to complete their services, prior written approval from Hiya Pal is required. Failure to disclose or receive approval may result in cancellation of the event and/or financial responsibility for any resulting damage.


6. Cleanup & Restoration


Vendor agrees to leave the space in the same condition as it was found. Any excessive mess, damage, or required deep cleaning beyond normal use may result in an additional cleaning or damage fee.


7. Insurance (Optional but Recommended)


Vendor is encouraged to carry their own liability insurance. Hiya Pal does not provide insurance coverage for Vendor’s activities.


8. Cancellation


In the event of a cancellation by the Vendor or by the party or event host, Hiya Pal is not responsible for any payment, fees, or compensation owed to the Vendor. Any financial arrangements between the Vendor and the party or event host are separate and must be handled directly between those parties.


All cancellations related to the use of the Hiya Pal space are subject to Hiya Pal’s standard rental and cancellation policies. Applicable venue fees may apply based on the timing of the cancellation.


9. Agreement & Acknowledgment


By signing below, Vendor acknowledges that they have read, understand, and agree to all terms of this Agreement.
